Before arriving at the definitive conclusion of a contract with the objective that this displays all its legal effectiveness, the parties are involved in a preparation phase, which involves a series of previous acts or conversations aimed at discussing and negotiating each of the conditions of the contract. This issue is called "preliminary agreements" and establishes a pre-contractual legal situation that has been analyzed in jurisprudence and modern doctrine, to determine the scope of the principle of good faith, also observing whether the rupture of preliminary talks would generate civil liability.
